    Orders and Statements of Work (“SOW”) accepted by Cypher Guard are subject to these Terms. Services shall commence only upon mutual agreement or confirmation from the Company. Prices, terms, and conditions for each order shall be detailed in the respective SOW or written confirmation.

11. Fees and Payments

    All payments are made on terms of the agreement with the J S Cypher known as Cypher Guard are due in full within thirty (30) days of invoice unless otherwise stated. Fees are non-refundable. The customer is responsible for all taxes unless a valid exemption certificate is provided. Where required by law, customers must gross up payments to ensure J S Cypher known as Cypher Guard receives the full amount.

12. Data Privacy

    J S Cypher known as Cypher Guard will process personal data in compliance with applicable data protection laws (including GDPR, where applicable). We adopt appropriate technical and organizational measures to secure data. Customers are responsible for obtaining all necessary consents from data subjects.

13. Term and Termination

    These Terms shall remain effective unless terminated in writing by either party. Renewal occurs automatically on an annual basis unless canceled in writing 60 days prior to renewal. Either party may terminate Support Services with 30 days’ written notice, subject to payment of any outstanding fees.

14. Force Majeure

    J S Cypher known as Cypher Guard shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, governmental actions, labor disputes, or internet failures.

15. Governing Law

    These Terms and any dispute arising hereunder shall be governed by the laws of the State of Israel. Jurisdiction shall lie exclusively with the competent courts in Tel Aviv, Israel.

16. Independent Relationship

    Nothing in these Terms shall be construed to create a partnership, joint venture, or agency between you and J S Cypher known as Cypher Guard. Each party acts independently.

17. Language

    These Terms are written in English and shall prevail in any case of conflict or translation.

18. Notices

    All notices shall be made in writing and delivered personally, by courier, or by email to the latest address provided. Notices shall be deemed received upon delivery.

19. Severability

    If any provision herein is found invalid or unenforceable, such provision shall be modified to reflect the parties' intent, and all remaining provisions shall remain in full force.
